By Andrew Bary May 21, 2024 12:58 pm EDT Jamie Dimon has a $75 million incentive to stick around as CEO ofJPMorgan Chase for another two-plus years, based on an option grant that he received in 2021. The 68-year-old Dimon signaled at the firm’s investor day Monday that he would step down as CEO earlier than anticipated. He said: “The timetable isn’t five years anymore,” referring to what had been his standard response to the succession question. It’s expected that Dimon will remain CEO into 2026, when a special option award of 1.5 million shares of JPMorgan stock will vest. That grant has a “cliff” vesting—meaning that, subject to limited exceptions, he needs to be employed at the firm in 2026 to receive the stock options. The special grant was made in July 2021 to incentivize him to stay on as CEO. However, he would still be eligible to receive the grant if he gives up the CEO role and remains chairman in 2026, since the grant specifies that he needs to be employed at the bank to receive it. Dimon is now both CEO and chairman. This chairman loophole isn’t widely known. The language of the grant, spelled out in the 2022 proxy, however, implies that the goal of the incentive is for Dimon to remain CEO into 2026. The bank says the grant reflects the board’s desire for him “to continue to lead the Firm for a significant number of years.” While Dimon would be eligible for the grant if he was just chairman, it is expected that, barring any health issues, that he will remain CEO into 2026—and perhaps longer. A stock call option, like the ones received by Dimon, is the right to buy shares at a certain price, known as the strike price, over a particular period. In Dimon’s case, the strike price on the options was set at $148.73 per share, based on the stock price at that time, according to th e 2022 proxy statement. Dimon can exercise the options—meaning he can buy the stock at that strike price—starting in July 2026, five years after the grant was made. JPMorgan shares were up 1.6% to $198.71 Tuesday. They fell more than 4% Monday when investors reacted negatively to Dimon’s comments about succession and that the bank would limit its stock repurchases given an elevated share price. The intrinsic value of the options—the difference between the strike price and the stock’s current market price—is now $50 each. That means the grant is currently worth about $75 million (1.5 million shares times $50), Barron’s calculates. Ultimately, the grant will be valued based on the stock price starting in July 2026. It’s debatable whether Dimon needs added financial incentive to stay at JPMorgan as CEO. Dimon loves the job and has been well paid, earning about $35 million in total compensation in both 2022 and 2023. The option grant, however, would amount to a nice bonus for him. Bloomberg estimates his net worth at $2.6 billion, making Dimon one of the wealthier bank CEOs. Most of his wealth is in JPMorgan stock. He holds 7.7 million shares, according to the 2024 proxy. That stake is now worth about $1.5 billion. The terms of the option grant state that the net shares received by Dimon need to be held by him for five more years beyond 2026, until 2031. This was designed to align him with shareholders beyond the initial exercise date of the options. However, Dimon could wait and exercise the options any time between July 2026 and their expiration in 2031. If Dimon does retire as CEO in 2026, he will be 70—a round number that might appeal to him and the JPMorgan board, which ultimately will make that decision. Pentagon Missing Trillions: What Happened to the Money?
From $21 Trillion to $94.7 Trillion: The Pentagon’s Escalating Financial Discrepancies Back in 2019, we poked fun at the Department of Defense (DOD) for, as we put it, “losing $21 trillion.” That colossal sum represented what the Pentagon’s inspector general called “unsupported journal voucher adjustments” between 1998 and 2015. But as it turns out, the $21 trillion was just the tip of the iceberg. Bloomberg News reports that the DOD recorded a staggering $94.7 trillion in accounting adjustmentsfor fiscal years 2017, 2018, and 2019 combined. Pentagon Missing Trillions: An IRS Audit Nightmare We can imagine the reaction of the IRS if during a tax audit they discovered $94.7 trillion in unreported income. Indeed, even a discrepancy one-ten-billionth as much – $94,700 – would undoubtedly warrant their attention and result in a tax assessment, interest, and penalties. To put this in perspective, in fiscal year 2019 alone, the DOD reported $35 trillion in accounting adjustments. That figure is nearly 50 times the size of its actual budget for that year. To top it off, $35 trillion exceeds the entire US GDP for 2019 by more than 50%. Congress Takes Notice…Barely One of the few members of Congress who has shown interest in the $94.7 trillion missing is California Representative Jackie Speier. She revealed that the DOD had made 546,433 adjustments in fiscal year 2017and 562,568 in 2018. Speier requested that the General Accountability Office (GAO) investigate these accounting adjustments. The GAO’s conclusion: “96% of the system-generated accounting adjustments were recorded without adequate supporting documentation.” Given this, it’s no surprise that the DOD’s accounting systems have been on the GAO’s “High-Risk List” since 1995. The DOD, for its part, explains these massive adjustments as being necessary “due to a lack of system capabilities or interfaces.” Is the Money Really Missing? Investment banker and former Assistant Secretary of Housing and Urban Development Catherine Austin Fitts has taken a particular interest in the missing trillions from the Pentagon. Through her platform, The Solari Report, Fitts and her team have compiled an impressive collection of documentation highlighting the US government’s apparent inability to balance its books. The real question remains: Is $94.7 trillion actually missing, or does the Pentagon suffer from chronic sloppy accounting? Or perhaps, is it both? Let’s consider fiscal year 2019, when the DOD’s budget was $738 billion, yet it reported $35 trillion in accounting adjustments. Roughly half of the $738 billion was allocated to easily verified expenses like military personnel salaries. That leaves $369 billion that could reasonably be subject to accounting adjustments. But as Solari’s Missing Money 2021 Update pointed out, “In this scenario, every dollar would have to have been counted 94 times to justify $35 trillion in accounting adjustments.” Searching for Answers Economics Professor Mark Skidmore, who prepared the 2021 update, requested additional information from both the GAO and the DOD to explain these discrepancies. He concluded that only a request under the Freedom of Information Act might shed additional light on the matter. In the meantime, Skidmore wrote: “These figures are so wildly outside anything that could be expected using fundamental accounting principles that we simply have nothing further to offer other than to note the absurdity.” A Long History of Financial Mismanagement This is not a new problem. Back in 2001, former Secretary of Defense Donald Rumsfeld made an astonishing admission: “According to some estimates, we cannot track $2.3 trillion in transactions.” Rumsfeld went on to describe the money wasted by the military as “a matter of life and death.” Since then, the issue has only worsened. Besides outliers like Jackie Speier, Congress has shown little interest in investigating the problem. But in May, Speier and every other Democrat in the House of Representatives voted to give the Pentagon $33 billion to support Ukraine in its efforts to repel Russia’s invasion—with virtually no congressional oversight. And that’s on top of the $14 billion Uncle Sam had already spent on Ukrainian aid. Where Do We Go From Here? Don’t forget, this is the same DOD responsible for overseeing the development of weapons like Lockheed’s F-35 combat jet. US taxpayers are slated to shell out more than $1.5 trillion over the F-35’s anticipated lifespan. But the jet has encountered a few performance issues, such as being unable to take off from the Navy’s newest aircraft carriers, a tendency to crash, an inability to dogfight, and even an emergency ejection system that risks killing or seriously injuring pilots. But why worry about $33 billion, $1.5 trillion, $35 trillion or even $94.7 trillion? After all, our government can create as much money as it wants out of thin air. And any government that issues its own currency can always pay its bills with the cash it creates. If investors aren’t lining up to buy the debt, the Fed will purchase it instead and add those “assets” to its balance sheet through the process of quantitative easing.
 While it shouldn’t come as a surprise for an organization that has famously failed to ever pass an audit, the Pentagon was nevertheless able to shock some observers this week with a new batch of financial numbers. According to Bloomberg’s Anthony Carpaccio, the Department of Defense made $35 trillion in “accounting adjustments” in 2019, easily surpassing the $30.7 trillion in such adjustments recorded in 2018. Carpaccio notes that the number “dwarfs the $738 billion of defense-related funding in the latest U.S. budget, a spending plan that includes the most expensive weapons systems in the world including the F-35 jet as well as new aircraft carriers, destroyers and submarines.” It’s also “larger than the entire U.S. economy and underscores the Defense Department’s continuing difficulty in balancing its books.” So what are these accounting adjustments? Todd Harrison of the Center for Strategic and International Studies says they represent “a lot of double, triple, and quadruple counting of the same money as it got moved between accounts” within the Pentagon. “A lot” may be an understatement: According to government data, there were 562,568 adjustments made in the Pentagon’s books in 2018. Why it matters: More broadly, the number highlights the persistent lack of internal financial controls at the Pentagon, which makes it extremely difficult to account properly for spending in the largest government budget. “Although it gets scant public attention compared with airstrikes, troop deployments, sexual assault statistics or major weapons programs, the reliability of the Pentagon’s financial statement is an indication of how effectively the military manages its resources considering that it receives over half of discretionary domestic spending,” Carpaccio says. Rep. Jackie Speier (D-CA), who asked the Government Accountability Office to look into the issue, said the “combined errors, shorthand, and sloppy record-keeping by DoD accountants do add up to a number nearly 1.5 times the size of the U.S. economy,” and charged that the Pentagon “employs accounting adjustments like a contractor paints over mold. Their priority is making the situation look manageable, not solving the underlying problem.”
Profits of War: Corporate Beneficiaries of the Post-9/11 Pentagon Spending Surge William D. Hartung1 Center for International Policy September 13, 2021 Introduction The United States government’s reaction to the terrorist attacks of September 11, 2001 led to dramatic increases in Pentagon funding and revenues for weapons contractors. While the costs and consequences of America’s war policies of the twenty-first century have been well-documented, the question of who has profited from this approach has received less attention. Corporations large and small have been, by far, the largest beneficiaries of the post-9/11 surge in military spending. Since the start of the war in Afghanistan, Pentagon spending has totaled over $14 trillion, one-third to one-half of which went to defense contractors.2 Some of these corporations earned profits that are widely considered legitimate. Other profits were the consequence of questionable or corrupt business practices that amount to waste, fraud, abuse, price-gouging or profiteering. The Pentagon’s increasing reliance on private contractors in the post-9/11 period raises multiple questions of accountability, transparency, and effectiveness. This is problematic because privatizing key functions can reduce the U.S. military’s control of activities that occur in war zones while increasing risks of waste, fraud and abuse. Additionally, that the waging of war is a source of profits can contradict the goal of having the U.S. lead with diplomacy in seeking to resolve conflicts. More broadly, the outsized influence of defense contractors has resulted in a growing militarization of American services. 1 William D. This is manifested in everything from the Pentagon’s receipt of the lion’s share of the federal discretionary budget—more than half—to the supply of excess military equipment to state and local law enforcement agencies.3 This report reviews the major sources of corporate profit tied to America’s post- 9/11 wars, as well as other factors driving the enormous surge in military spending during the first two decades of this century, including the growth in the global arms trade, the recent focus on construing China as a threat, and large Pentagon budgets. The Post-9/11 Spending Surge The political climate created by the “Global War on Terror” (GWOT), as it was referred to in the early 2000s, set the stage for large increases in the Pentagon budget, much of which went to military contractors. This spending surge included increases in the base budget—the portion of the budget not strictly related to ongoing conflicts—as well as trillions in spending on the U.S.’ post-9/11 wars. The base budget is relevant to sustaining a large military with global reach, including over 800 overseas military bases, and massive nuclear weapons capacity.4 The increases in the base budget have been over and above the $2 trillion in direct costs of the wars themselves that were expended through the Pentagon’s Overseas Contingency Operations (OCO) account.5 The Pentagon budget—the base budget plus the OCO account—increased by over 10 percent in the first year after the 9/11 attacks and the commencement of the war in Afghanistan. The Pentagon budget ultimately increased year after year for 10 years running, an unprecedented occurrence in U.S. history. The Pentagon Budget from 1948-2020 (in Billions of 2021 USD) “The Purse is Now Open”: The Post-9/11 Flood of Military Contracts The magnitude of Pentagon spending in the wake of the 9/11 attacks was remarkable. The increase in U.S. military spending between Fiscal Year 2002 and Fiscal Year 2003 was more than the entire military budget of any other country, including major powers like China, Russia, the United Kingdom, Germany, and France.8 And in the new political climate, increases in Pentagon spending reached well beyond expenditures specifically tied to fighting the wars in Iraq and Afghanistan. As Harry Stonecipher, then Vice President of Boeing, told The Wall Street Journal in October 2001, “the purse is now open . . . any member of Congress who doesn’t vote for the funds we need to defend this country will be looking for a new job after next November.”9 Stonecipher’s prophesy of rapidly rising Pentagon budgets proved correct. Adjusted for inflation, Pentagon spending grew by nearly one-third from 2001 to 2010.10 Military spending has come down slightly since 2010, but remains at historically high levels. Figures include both the Pentagon’s base budget and the Overseas Contingency Operations (OCO) account work like nuclear warhead development at the Department of Energy topped $753 billion for FY2022.11 Total Pentagon expenditures for all purposes since Fiscal Year 2001 have topped $14.1 trillion (measured in 2021 dollars). Of this sum, $4.4 trillion went for weapons procurement and research and development (R&D), categories that primarily benefit corporate contractors. The remaining funds went to pay and benefits for military and civilian personnel and supporting expenditures needed to operate and maintain the U.S. military. The $4.4 trillion figure is a conservative estimate of the pool of funding Pentagon contractors have drawn from in the two decades since 9/11. The Pentagon’s massive budget for operations and maintenance (O&M) also subsidizes contractors, but it is harder to determine what share of this category goes to private firms.12 The benefits of the post-9/11 surge in Pentagon spending have been highly concentrated. One-quarter to one-third of all Pentagon contracts in recent years have gone to just five major weapons contractors: Lockheed Martin, Boeing, General Dynamics, Raytheon, and Northrop Grumman. “One-quarter to one-third of all Pentagon contracts in recent years have gone to just five major weapons contractors: Lockheed Martin, Boeing, General Dynamics, Raytheon, and Northrop Grumman.” These five companies received over $286 billion in contracts in Fiscal Year 2019 and Fiscal Year 2020 alone (see Table 1).13 From FY 2001 to FY 2020 these five firms alone split over $2.1 trillion in Pentagon contracts (in 2021 dollars).14 To put these figures in perspective, the $75 billion in Pentagon contracts received by Lockheed Martin in FY 2020 is well over one and one-half times the entire budget for the State Department and Agency for International Development for that year, which totaled $44 billion.15 11 Center for Arms Control and Nonproliferation. As indicated in Table 1, the biggest financial beneficiaries of the post-9/11 military spending surge have been major U.S.-based weapons contractors. But weapons makers were far from the only beneficiaries. Companies benefiting from the buildup of the past 20 years range from weapons manufacturers like Raytheon and Lockheed Martin, to logistics and reconstruction firms like Kellogg, Brown and Root (KBR) and Bechtel, to armed private security contractors like Blackwater and Dyncorp. As noted by Heidi Peltier in her analysis of the “camo economy,” roughly half of the Pentagon budget—$370 billion in 2019—went to military contractors, for both war-related and ongoing peacetime activities.16 The Congressional Research Service estimates that in FY2020, the spending for contractors grew to $420 billion—well over half of the total Pentagon budget.17 Three Ways to Profit Companies profit from a war economy in at least three ways: logistics and reconstruction, private security contracting, and supplying weapons. As demonstrated below, numerous companies took advantage of wartime conditions—which require speed of delivery and often involve less rigorous oversight—to overcharge the government or engage in outright fraud. Logistics and Reconstruction The first way contractors have profited from the post-9/11 wars is through logistics and reconstruction work in the war zones. The chaos of war, the lack of adequate government oversight, and the sheer volume of funds poured into the reconstruction effort in a short time frame all contributed to an environment that enabled massive waste, fraud and abuse in the reconstruction efforts in Iraq and Afghanistan. 16 Heidi Peltier. The best known reconstruction and logistics contractor in Iraq and Afghanistan is Halliburton, through its Kellogg, Brown and Root (KBR) subsidiary.18 At the outset of the two wars, Halliburton was the recipient of the Pentagon’s Logistics Civil Augmentation Program (LOGCAP) contract, an open-ended arrangement that involved coordinating a wide array of support functions for troops in the field, from setting up military bases, to maintaining equipment, to providing food and laundry services.19 Halliburton’s Pentagon contracts grew more than tenfold from FY2002 to FY2006 on the strength of its contracts to rebuild Iraq’s oil infrastructure and provide logistical support for U.S. troops in Iraq and Afghanistan.20 By August 2008 the company had received over $30 billion for work under the LOGCAP contract.21 At the outset, Halliburton’s role was controversial, drawing considerable criticism in the press, from independent analysts, and from key members of Congress. The notion of privatizing logistics was initiated by Dick Cheney when he served as secretary of defense in the George Herbert Walker Bush administration in the early 1990s. An August 2000 essay in Mother Jones described the conflict of interest involved in contracting out wartime support services: “In 1992,” it said, “the Pentagon, then under Cheney’s direction, paid Texas-based Brown and Root Services $3.9 million to produce a classified report detailing how private companies—like itself—could help provide logistics for American troops in potential war zones around the world.”22 Cheney went on to serve as the CEO of Halliburton, the corporate parent of Kellogg, Brown and Root, up until the point that he became the Vice-President in the George W. Bush administration in 2001. Halliburton’s performance was another major source of criticism, as it was found to be dramatically overcharging for basic services and doing faulty work that put U.S. troops at risk. It was far from the only company engaged in such activities, however. Starting in 2004, a year into the Iraq war, the Special Inspector General for Iraq Reconstruction (SIGIR)—a congressionally mandated body designed to root out waste, fraud and abuse—and Congressional watchdogs like Rep. Henry Waxman (D-CA) exposed scores of examples of overcharges, shoddy construction, and outright theft by contractors engaged in the rebuilding of Iraq, but relatively few companies suffered significant financial or criminal consequences for what can only be described as war profiteering—taking advantage of the less rigorous oversight that obtained under wartime conditions to overcharge the government, including by engaging in criminal conduct.24 An additional problem is that U.S. contractors too often failed to make local residents integral to rebuilding projects, undermining the sustainability of these projects once the contractors left the scene. The Commission on Wartime Contracting in Iraq and Afghanistan estimated that waste, fraud and abuse in the two war zones as of 2011 had totaled $31 billion to $60 billion.25 A few examples of wasteful spending in Iraq and Afghanistan give a sense of how business was conducted throughout the war period. In Iraq, one of the early scandals involved overcharging for fuel supplied to U.S. forces by Kellogg, Brown and Root. In a December 2003 report—less than a year into the war—the Defense Contract Audit Agency (DCAA) documented “tens of millions” in overcharges by KBR, including charging more than twice what other suppliers were charging for fuel.26 KBR’s fuel overcharges were followed a few years later by similar price gouging by a firm called International Oil Trading Company (IOTC), which received contracts worth $2.7 billion from the Defense Logistics Agency (DLA). An investigation by Rep. Henry Waxman (D-CA), chair of the House Government Oversight and Reform Committee, found that the firm had routinely overcharged the Pentagon for fuel it brought into Iraq, making over $200 million in profits on sales of $1.4 billion during the period from 2004 to 2008, over a third of which allegedly went to its owner Harry Sargeant III, who also served as the finance chairman of the Florida Republican Party. Waxman summarized the situation as follows: “The documents show that Mr. Sargeant’s company took advantage of U.S.taxpayers. His company had the only license to transport fuel through Jordan, so he could get away with charging exorbitant prices. Cost overruns and poor performance characterized much of the work involved in rebuilding Iraq. Large U.S. firms like Parsons and Bechtel were cited for inadequate and incomplete work on scores of projects involving everything from water projects to building schools and health clinics.28 According to a September 2006 New York Times account of an investigation by the Special Inspector General for Iraq Reconstruction, 13 of 14 projects carried out by Parsons in Iraq were “substandard, with construction deficiencies and other serious problems.” One of the projects involved the construction of a police college in Baghdad where “plumbing work was so poor that the pipes burst, dumping urine and fecal matter throughout the college’s buildings.”29 A particularly egregious case of shoddy work that had tragic human consequences involved the electrocution of at least eighteen military personnel in several bases in Iraq beginning in 2004 due to faulty electrical installations, some of which were done by KBR and its subcontractors. An investigation by the Pentagon’s Inspector General found that commanders in the field had “failed to ensure that renovations... had been properly done, the Army did not set standards for jobs or contractors, and KBR did not ground electrical equipment it installed at the facility.”30 Finally, the 2008 death of Staff Sgt. Ryan Maseth, a Green Beret who was electrocuted while showering in Iraq, brought Congressional and public attention to the issue. While KBR had inspected the building that Maseth died in and found “serious electrical problems” almost a year before his electrocution, KBR did not fix the identified problems. Notably, KBR’s contract did not require “fixing potential hazards.”31 A former KBR electrician accused other KBR contractors of falsifying documents to make it appear that they had fixed the previously identified grounding issues. Another former KBR electrician testified to the Senate that KBR used untrained or inexperienced electricians to do electrical work at a lower rate while billing the U.S. government at the same rate used for experienced electricians. Lastly, in July 2008, a KBR electrician testified that the DoD had no oversight system for the electrical work, even after soldiers had been electrocuted.32 27 James Glanz.; Michael Luo. KBR also profited from overcharges on food services for U.S. troops in Iraq. Building dining facilities and providing meals at approximately 60 bases throughout Iraq made up a significant portion of KBR’s massive LOGCAP contract. In a May 2009 testimony before the Commission on Wartime Contracting, the Director of the Defense Contract Audit Agency (DCAA) testified that after auditing $1.2 billion of Dining Facility Costs (DFAC) from the KBR contract, the DCAA “took exception” to approximately $352 million of the total costs.33 DCAA Director April Stephenson stated that the main reason for these “exceptions” was KBR’s practice of billing the U.S. for many meals that were not actually provided. A DCAA Audit found that the number of meals KBR charged the government for could have been up to 36 percent greater than the accurate number.34 By February of 2004, KBR was forced to refund the U.S. for $27.4 million of “potential over-billings” at dining facilities in Iraq and Kuwait.35 KBR relied heavily on subcontractors, often in efforts to increase profits, at times through illegal maneuvers. The Commission on Wartime Contracting reported that KBR managers received kickbacks from a Kuwaiti subcontractor that was then awarded $700 million worth of additional dining facility subcontracts from KBR.36 Box 1. Custer Battles: “Playing the Chaos” Smaller firms also benefited from the chaotic atmosphere that prevailed in Iraq during the early years of the U.S. occupation. One such company was Custer Battles, a firm that had contracts to guard the Baghdad airport and to collect the old Iraqi currency—the dinar—so it could be destroyed. The principals in the firm had no experience in airport security and had never received a government contract. They had been the low bidders on the airport contract and promised to get started more quickly than larger, more established companies. But an Army inspection of their operations found that they had hired security guards with no prior training, hired no translators who spoke Arabic, and acquired no security dogs to detect explosives. They also lived in luxury compared to U.S. military personnel, as noted by T. Christian Miller of the Los Angeles Times, who later went on to write a book about the reconstruction effort entitled Blood Money: Wasted Billions, Lost Lives, and Corporate Greed in Iraq: “At a time when U.S. soldiers were still living in tents, Custer Battles had built a pool, installed air conditioning, and set up a wireless internet connection for themselves. They could afford to, with the government shoveling money at them.”37 Custer Battles’ brief career in government contracting came to an end when a consultant to the firm found a spreadsheet that documented gross overcharges. 33 April G. Top defense stock traders in Congress in 2024 Data shows these lawmakers traded between $24M and $113M million worth, some while serving on committees making war policy NICK CLEVELAND-STOUT DEC 25, 2024 At least 37 members of Congress and their families traded defense stocks in 2024, using a list of the top 100 Pentagon contractors compiled annually by Defense Security Monitor. A Responsible Statecraft analysis of data from investment research platform Quiver Quantitative shows that these lawmakers traded between $24 million and $113 million worth of Pentagon contractor stocks this year (lawmakers merely have to provide a range for stock trading disclosures). Eight of these members even simultaneously held positions on the Armed Services and Foreign Affairs Committees, the committees overseeing defense policy and foreign relations. Members of Congress that oversee the annual defense bill and are privy to intelligence briefings have an upper hand in predicting future stock prices. But who traded the most defense stock this year? That distinction goes to Rep. Josh Gottheimer (D-N.J.). Gottheimer may have faked his Spotify Wrapped — fabricating an image to make him look like a Bruce Springsteen superfan — but he can’t fake his way out of being crowned the most avid trader in Congress. Gottheimer traded at least $22 million worth of stock of the top 100 Pentagon contractors, including Microsoft, Northrop Grumman, and IBM. Microsoft — which received $414 million from the Department of Defense in 2023 for software and cloud computing services — accounted for the vast majority of his trades. Gottheimer simultaneously holds positions on the Permanent Select Committee on Intelligence, and the National Security subcommittee in the Committee on Financial Services. Gottheimer says his trades are made by a third-party financial firm; “I literally have no idea what they do,” he stated in a 2022 CNBC interview. Given Springsteen’s lifelong skepticism of the military-industrial complex, I’m not sure the Boss himself would approve.  The second most active defense stock trader was Speaker Emerita Rep. Nancy Pelosi (D-Calif.), who sold over $1 million worth of Microsoft stock in late July. The FTC opened a wide-ranging anti-trust investigation into Microsoft in November. The timing of Pelosi’s Microsoft trades in the past have garnered attention, too; in March 2021, she bought Microsoft call options less than two weeks before the Army announced a $22 billion contract with the software company to supply augmented reality headsets. Pelosi had the most profitable 2024 of any lawmaker, netting an estimated $38.6 million from all stock trading activity, according to Quiver Quantitative. Rep. Tom Kean Jr., who comes in at number five for defense stock trading, traded between $106,000 and $365,000 worth of defense stock while sitting on the House Foreign Affairs Committee. Kean Jr. exchanged Jacobs stocks after a merger with Ammentum in September. At number six, Rep. Jonathon Jackson (D-Ill) traded between $80,003 and $200,000 worth of Pentagon contractor stock, including snapping up as much as $50,000 worth of General Dynamics stock while sitting on the House Foreign Affairs Committee. Sen. Tommy Tuberville (R-Ala) was the seventh-most active defense stock trader. Despite his perch on the Senate Armed Services Committee, Tuberville disclosed between $63,007 and $245,000 worth of trading in defense stocks this year, selling stakes in IBM, Honeywell, and Accenture, among others. Last September, Tuberville— who owns up to 50,000 in Lockheed Martin stock — participated in an committee hearing on defense innovation headlined by Lockheed CEO James Taiclet. Tuberville has said that limiting lawmakers’ ability to trade stocks would be “ridiculous” and that “it would really cut back on the amount of people that would want to come up here and serve.” What about lawmakers who embrace the buy-and-hold strategy, rather than actively trading? In September, Sludge’s David Moore published an investigation that found that lawmakers may own as much as $10.9 million in defense company stock. Moore also found that Honeywell — which provides sensors and guiding devices to assist the Israeli military in airstrikes in Gaza — is the most commonly-held defense company stock, followed by RTX (formerly known as Raytheon). During a hearing in June of this year, Rep. Pat Fallon (R-Texas) held up to $250,000 worth of Boeing stock while questioning Navy officials during a hearing about repeated crashes of the V-22 Osprey, a tilt-rotor helicopter made by Bell and Boeing. Rep. Fallon left in the middle of the hearing, shaking hands with family members of Osprey crash victims on the way out. If Congress wants to wash itself of conflicts of interest it can start by passing a stock trading ban. The Ending Trading and Holdings in Congressional Stocks Act, or ETHICS Act, would prohibit Members of Congress from trading individual stocks. “Lawmakers like me, we’re kind of like umpires in a baseball game, we call balls and strikes. And you definitely don’t let umpires bet on the outcome of the game,” said Sen. Jon Ossoff (D-GA), who introduced the bill alongside three other Senators. The ETHICS Act passed the Senate Committee on Homeland Security and Government Affairs in July but has not yet had a full Senate vote. President Joe Biden announced his support of a stock trading ban this week.“I don’t know how you look your constituents in the eye and know, because the job they gave you, gave you an inside track to make more money,” said Biden. The figure had been mentioned by the Department of Defense more than a year earlier. Posts on Facebook sharing the claim include an image that reads, “NEVER FORGET. September 10 2001. Donald Rumsfeld holds a press conference to state that the Pentagon was missing more than $2,300,000,000,000 but the next day something happened and everybody forgot.” While he did make the remarks the day before 9/11, it was not the first time this amount was brought up. An audit report, opens new tab(page 4 of the pdf) released on Feb. 25, 2000, about financial statements for the fiscal year 1999 by the Office of the Inspector General at the U.S. Department of Defense says, “For the accounting entries, $2.3 trillion was not supported by adequate audit trails or sufficient evidence to determine their validity, $2 trillion was not reviewed because of time constraints, and $2.6 trillion were supported.” In a July 2000 statement, opens new tab (page 9) , Robert J. Lieberman, Assistant Inspector General at the time, also mentioned the $2.3 trillion number saying that the amount was “unsupported by reliable explanatory information and audit trails or were made to invalid general ledger accounts.” VERDICT Misleading. Former Secretary of Defense Donald Rumsfeld did not reveal that the Pentagon had lost $2.3 trillion the day before the September 11, 2001, attacks. OCT. 19, 2016 The $6 Trillion Issue You Won’t Be Hearing About at Tonight’s Debate By Scott Beauchamp Defense and military haven’t gotten a lot of nuanced attention during the first two presidential debates. As Daniel Larison wrote, “If anyone wanted to know about something other than the candidates’ views on Iran and Russia, [the] debate[s] wouldn’t have provided many answers.” There weren’t any really substantive exchanges about major issues like the South China Sea or Libya. And forget about tougher, more nuts-and-bolts questions touching on Pentagon structure, budget issues, and appropriations. They are vitally important issues, but don’t expect anything different at tonight’s third and final forum. Donald Trump almost certainly won’t be asked about his recent dramatic flip-flop on defense spending. After advocating for modest cuts to the Pentagon budget throughout the primary season, last month he called for 50,000 new soldiers in the Army, 70 new Navy ships, 100 more planes for the Air Force, and 13 new Marine battalions. If that wish list comes off like a random grab bag of military goodies, untethered to any coherent argument of why we might need these specific things, that’s because it is. But his brash pronouncements about things like the size of the Army and amount of Naval ships underscore a weird irony of election years: Sometimes the more we listen to the candidates, the less we understand the true state of the Pentagon. Because the fact of the matter is that how the Department of Defense spends its money is a bit of a mystery, and the Pentagon’s budget issues go far deeper than Trump realizes. Trump’s new defense demands don’t help us understand headlines like the one from mid-August that said the Defense Department’s inspector general found more than $6.5 trillion “wrongful adjustments to accounting entries” in the Army’s general fund in 2015 alone. It’s a number that’s difficult to wrap your head around. First of all, it’s much larger than the entire annual federal budget. But that sum represents not only current spending, but a lot of money from previous years that can’t be accounted for either. The sheer scope of the malfeasance is so staggering that the question that comes to mind isn’t “Why?” but “How?” Defense journalist Matthew Gault took a shot at answering that when he wrote at War Is Boring: “How could the Army misplace, fudge, misappropriate or otherwise lose $6.5 trillion? It’s simple. Years of no oversight, bad accounting practices and crappy computer systems created this problem. Add to that the fact that in accounting, a dollar can get lost multiple times, creating a cascade, or snowball, effect. And keep in mind, this is just the Army and just its general fund.” Gault’s not being hyperbolic about the lack of oversight. In the 20 years since it’s been a legal requirement that the Pentagon undergo an annual audit, they haven’t ever complied. Not once. There are basically two competing narratives about the DOD’s budget. In one, cutbacks have hamstrung the Pentagon to the point of crises. Congress, unable to reach a consensus on a budget, passed the 2011 Budget Control Act. This basically said that if they couldn’t pass a budget by 2013, across-the-board cuts would take place across all levels of federal government until 2021. The threat of cuts was supposed to act as an incentive to pass a real budget. They were meant to be avoided by actually striking a deal. But, of course, that never happened. And so budget cuts to every federal program (except veterans’ benefits, Medicaid, and Social Security) were implemented. In part because of this sequestration process, as it’s called, the defense budget has dropped 25 percent since 2011, and leaders from every branch of service have engaged in public hand-wringing about how those cuts could affect future combat capabilities. According to this line of thinking, the automatic across-the-board budget cuts, paired with a decade of wars in the Middle East, have turned our military into a paper tiger. Senator John McCain wrote in an op-ed for Task & Purpose, “ … [T]hese arbitrary, across-the-board budget cuts under sequestration are crippling force modernization, undercutting training and putting the lives of American service members at greater risk. This is all happening as the threats around the world — and to the homeland — are growing.” In the counter-narrative, the Pentagon has too much money. America’s defense budget isn’t just as large as those of the next seven countries combined; it’s also averaged higher under President Obama than under Bush, and outstrips World War II and Cold War levels of spending, even when adjusted for inflation. Some experts, such as Pentagon comptroller Bob Hale, say that, if anything, the 2013 sequestration brings some much-needed discipline to the defense budgetary process. Each side has, generally speaking, patriotic motivations, but both arguments completely ignore the elephant in the room: Without a thorough audit of the Pentagon, we have absolutely no idea where exactly our money is going, whether it’s being used efficiently and appropriately, or even how much more would be needed to bolster gaps in military performance. As long as the Pentagon is a financial black hole, both arguments on its spending are rendered moot. Take, for example, a few of the recent intergovernmental dust-ups over money spent on the “reconstruction” of Afghanistan. According to the special inspector general for Afghanistan reconstruction, the Department of Defense spent more than $43 million building a single compressed natural gas station in Afghanistan, a facility that SIGAR says should have only cost something closer to $500,000. But in January of last year, baroquely titled Principal Deputy Secretary of Defense for Policy Brian McKeon testifiedbefore the Senate that the gas station actually cost something closer to $10 million. If the second number is accurate, it would still be scandalously high. But instead of being able to confront either scenario head-on, we’re left peeling away seemingly endless layers of bureaucratic uncertainty. An audit of the Pentagon, and accurate accounting of DOD spending more generally, would give us an objective baseline necessary to actually have arguments about how the money is spent. That’s the pragmatic argument for auditing the Defense Department. But the legal argument is just as compelling. Director of the Straus Military Reform Project at the Project on Government Oversight Mandy Smithberger writes, “In 1990 Congress passed the Chief Financial Officers Act, which required every federal agency to be auditable. Since then, every agency has complied--except for the Department of Defense. Instead, there’s been a saga of audit readiness plans and billions spent to upgrade out-of-date financial systems—plans and upgrades the Government Accountability Office estimated in 2010 wasted nearly $6 billion.” So not only has the Department of Defense never met its legal obligation to comply with an audit, but it’s actually wasted billions of dollars in the process of failing to comply. It’s difficult to imagine any other federal agency being able to get away with something like this. Try to imagine the Department of Education wasting billions of dollars not complying with federal oversight laws. It’s almost easier to imagine the entire department being scrapped altogether. But that just points to a fundamental difference between the Department of Defense and the rest of the federal agencies. One of the reasons why it’s so difficult to audit the Pentagon is because it’s so vast, and it conducts course corrections with an inelegance and bureaucratic inertia all its own. The Pentagon is so large it’s difficult to know exactly the best way to convey its size. Since, as we’ve seen, the numbers tend to get a little weird, just consider how much physical property falls under the domain of the Defense Department. According to War Is Boring, the Pentagon “owns more than half a million properties worth in excess of $800 billion dollars. The military’s real estate holdings span the globe and, all together, span over 30 million acres.” Does it really come as a surprise that, according to a GAO report from 2014, the DOD doesn’t even really know which of these facilities it needs or currently uses? This nearly trillion-dollar question mark is representative of the Pentagon’s entire collective byzantine financial disorder. The Pentagon is almost too big to audit. Almost. But not quite. Bad bookkeeping might be partially explained by the sheer scope of the DOD, but it’s also a convenient excuse for an organization that doesn’t necessarily have an incentive to be held accountable. Mike McCord, the Pentagon’s CFO, claims that the DOD’s primary job isn’t to prepare for an audit, but “to defend the nation, fight and win wars.” Which is true, but deceptively simplistic. Preventing the redundancies and waste that have contributed to the accounting chaos seems like an integral part of keeping the Pentagon operating most efficiently. “We’re too big to just sort of blow up all of our systems and go buy one new, gargantuan IT system that runs the entire Department,” McCord explained. But it’s kind of strange that the two things are presented as being at odds. Wouldn’t better financial management, no matter how difficult it might be to implement, actually serve to help the Pentagon defend the nation? A slightly more cynical (or realistic, depending on your preference) explanation for that recalcitrant attitude exemplified by the person who should be most concerned about the state of the DOD’s ledger is that the military’s budget is hard to rein in because so many people benefit from the waste. Start reforming one project and the next thing you know entire cash cows are getting slaughtered and budgets are getting slashed as things streamline. As William Hartung wrote, “An accurate head count of the hundreds of thousands of private contractors employed by the Pentagon would reveal that a large proportion of them are doing work that is either duplicative or unnecessary. In other words, an effective audit of the Pentagon or any form of serious oversight of its wasteful way of life would pose a financial threat to a sector that is doing just fine under current arrangements.” Both the Republican and Democratic party platforms mention auditing the Pentagon, receiving a short paragraph in each. As Mandy Smithberger of POGO told me over email, “Both major-party platforms pay lip service to auditable financial statements, but until the president or Congress withholds funding for failing to meet this deadline progress is going to continue to be incremental.” But just knowing how much of our money is going where is only the tip of the iceberg. Our inability to force even the most basic accounting standards on our nation’s largest federal agency is a symbol of our inability to address a much deeper ailment: The Pentagon would have to be radically altered, almost taken apart and then reassembled, in order to be fixed. But the only people who have the power to do that don’t have the incentive to. Dec. 11, 2017 MSU scholars find $21 trillion in unauthorized government spending; Defense Department to conduct first-ever audit Earlier this year, a Michigan State University economist, working with graduate students and a former government official, found $21 trillion in unauthorized spending in the departments of Defense and Housing and Urban Development for the years 1998-2015. The work of Mark Skidmore and his team, which included digging into government websites and repeated queries to U.S. agencies that went unanswered, coincided with the Office of Inspector General, at one point, disabling the links to all key documents showing the unsupported spending. (Luckily, the researchers downloaded and stored the documents.) Now, the Department of Defense has announced it will conduct the first department-wide, independent financial audit in its history (read the Dec. 7 announcement here). The Defense Department did not say specifically what led to the audit. But the announcement came four days after Skidmore discussed his team’s findings on USAWatchdog, a news outlet run by former CNN and ABC News correspondent Greg Hunter. “While we can’t know for sure what role our efforts to compile original government documents and share them with the public has played, we believe it may have made a difference,” said Skidmore, the Morris Chair in State and Local Government Finance and Policy at MSU. Skidmore got involved last spring when he heard Catherine Austin Fitts, former assistant secretary of Housing and Urban Development, refer to a report which indicated the Army had $6.5 trillion in unsupported adjustments, or spending, in fiscal 2015. Given the Army’s $122 billion budget, that meant unsupported adjustments were 54 times spending authorized by Congress. Typically, such adjustments in public budgets are only a small fraction of authorized spending. Skidmore thought Fitts had made a mistake. “Maybe she meant $6.5 billion and not $6.5 trillion,” he said. “So I found the report myself and sure enough it was $6.5 trillion.” Skidmore and Fitts agreed to work together to investigate the issue further. Over the summer, two MSU graduate students searched government websites, especially the website of the Office of Inspector General, looking for similar documents dating to 1998.
